What Is Management Liability Insurance?
Management liability is a package policy that protects a company and its leaders from the claims that come from running the business rather than from the services it sells. It usually has four parts, and you can buy any combination:
- Directors & Officers (D&O) — lawsuits against founders, officers and board members over management decisions: investor and shareholder disputes, creditor claims, regulatory investigations.
- Employment Practices Liability (EPLI) — claims from employees and candidates: wrongful termination, discrimination, harassment, retaliation.
- Fiduciary Liability — claims that the people running your 401(k) or health plan breached their ERISA duties: excessive fees, late deposits, administrative errors.
- Commercial Crime — direct theft of company money: employee dishonesty, forgery, computer and funds-transfer fraud, and (by endorsement) social-engineering wire fraud.
Why Buy It as a Package?
Buying the parts together usually costs less than four standalone policies, keeps one application and one renewal date, and avoids gaps between policies — for example an employee termination that turns into both an EPLI claim and a D&O claim against the board. Packages such as Cowbell's management liability program underwritten by Zurich let you quote all four parts at once and then keep only the parts you want.
What It Costs
For a small professional-services or tech firm at $1M limits, recent package quotes we've seen look roughly like this per part: D&O ~$750, EPLI ~$1,850–$2,450 (with a ~$2,000 retention), Fiduciary ~$500, Crime ~$2,100–$2,200 (with a ~$5,000 deductible). Headcount, employee states, plan assets, funding stage and controls move the price most.
Who Needs It
- SaaS and venture-backed startups — D&O is an investor requirement; EPLI follows the first hires.
- Law firms and RIAs — crime protects operating and client-facing funds from fraud; EPLI covers staff claims; pair with cyber and E&O.
- IT consultants and MSPs — EPLI (including third-party claims from client sites) and crime for payroll and vendor-payment fraud.
- Any company sponsoring a 401(k) — fiduciary liability protects the people who run the plan personally.
Management liability does not replace cyber insurance or professional liability (E&O). Most of our clients buy it alongside a Cyber + E&O bundle.
